nDatalyze Corp. (“NDAT” or the “Corporation”) (CSE:NDAT) (OTC:NDATF) announces a private placement.
Calgary, Alberta – October 6, 2023
For Immediate Release – nDatalyze Corp. (“NDAT” or the “Corporation”) (CSE:NDAT) (OTCQB:NDATF) announces a private placement.
The Corporation has arranged a non-brokered private placement to raise gross proceeds of up to $600,000 through the issuance of up to five million Units at a price of $0.12 per Unit. Each Unit consists of one common share and one-half of a common share purchase warrant with two warrants required to purchase one common share at $0.25 for a period or 18 months from the date of issuance. The Corporation may pay a finder’s fee in connection with the private placement to eligible finders, in accordance with the policies of the exchange and applicable securities laws, consisting of: (i) a cash commission of up to 8 per cent of the gross proceeds of the private placement; and (ii) a number of common share purchase warrants equal to up to 8 per cent of the number of shares sold pursuant to the private placement. Two finder’s warrants will entitle the holder thereof to acquire one share at a price of $0.25 for a period of 18 months from the date of issuance. The private placement is subject to approval of the CSE, and all shares and securities of the company issued pursuant to the private placement will be subject to a four-month hold period from the date of issuance.
The company intends to use the net proceeds of the private placement in furtherance of a Clinical Study related to its YMI machine-learning-based mental health clinical decision system and for general corporate purposes.
